The use of services from AI Exec Advisors, a division of Onpoint Systems, Inc. ("Company," "Provider," "We," "Us," or "Our") constitutes agreement to these terms. You must be at least 18 years of age to use our services and to consent to receive SMS text messages from AI Exec Advisors. By using our services and opting in to receive SMS messages, you confirm that you are at least 18 years old.
1. Account Setup
We will set up your account after receipt of all required account information and payment verification. Providing false contact information of any kind may result in the termination of your account.
2. Description of Services
AI Exec Advisors provides AI-powered business automation consulting and implementation services, including but not limited to:
• AI virtual assistants for customer service and lead qualification
• Business process automation and workflow design
• Marketing automation and CRM implementation
• AI chatbot development and deployment
• Ongoing optimization and support of deployed AI systems
All services are AI-centric. We engage only where an AI-based solution addresses the client's needs. Specific deliverables, timelines, and fees for each engagement are defined in a separate Master Services Agreement (MSA) and Statement of Work (SOW) executed between the parties.
3. Content and Acceptable Use
All services provided by Provider may only be used for lawful purposes. The laws of the State of Indiana and the United States of America apply.
The customer agrees to indemnify and hold harmless Provider from any claims resulting from the use of our services.
Use of our services to infringe upon any copyright or trademark is prohibited. This includes but is not limited to unauthorized copying of music, books, photographs, or any other copyrighted work.
We reserve the right to refuse service to anyone. Any material that, in our judgment, is obscene, threatening, illegal, or violates our terms of service in any manner may be removed from our servers with or without notice.
4. Qualification and Intake Process
4.1 AI-Powered Qualification Calls
Our initial prospect qualification process is conducted via AI-powered voice calls. By requesting or accepting a qualification call, you consent to interacting with an AI agent and to the call being recorded. Recordings may be used for qualification documentation, quality review, and AI system improvement.
4.2 Intake Form
Following a successful qualification call, we will send you an intake form via SMS and/or email. Completion of the intake form is required before a Discovery Call with our principal will be scheduled. Failure to complete the intake form within five (5) business days may result in removal from the active pipeline.
4.3 No Obligation Prior to Signed Agreement
Completion of a qualification call or intake form does not create a binding service agreement. A binding engagement begins only upon execution of a Master Services Agreement and applicable Statement of Work.
5. Payment Information
You agree to supply appropriate payment for the services received from Provider, in advance of the time period during which such services are provided. You agree that until and unless you notify Provider of your desire to cancel any or all services received, those services may be billed on a recurring basis.
Cancellations can be done in writing via the cancellation process provided or by contacting support. Once we receive your cancellation and have confirmed all necessary information with you via email, we will inform you in writing that your account has been canceled.
As a client of Provider, it is your responsibility to ensure that your payment information is up to date and that all invoices are paid on time. Provider provides a fifteen (15) day grace period from the time the invoice is generated and when it must be paid. A 1.5% interest charge per month will be applied for invoices not paid within 15 days. Provider reserves the right to change the monthly payment amount and any other charges at any time.
6. Cancellations and Refunds
Provider reserves the right to cancel the account at any time with or without notice. Violations of the Terms of Service will waive the refund policy. No refunds shall be provided for any prepaid fees. Client may terminate prior to the end of the applicable term only upon payment of all fees due through the end of such term.
7. Indemnification
Customer agrees that it shall defend, indemnify, save and hold Provider harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against Provider, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns.
8. SMS Terms and Conditions
AI Exec Advisors provides SMS messaging services to customers who have opted in to receive text messages. By signing up for text messages, you agree to the following terms:
Message Types: You may receive informational messages including appointment reminders, account notifications, intake form links, service updates, and business communications from AI Exec Advisors at the phone number provided.
Message Frequency: Message frequency varies. As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
Opt-Out Instructions: You can cancel the SMS service at any time. Just text "STOP" to the number from which you received the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Carrier Liability: Carriers are not liable for delayed or undelivered messages.
No Sharing of Mobile Information: No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

9. Intellectual Property
All content on our website, including but not limited to text, graphics, logos, and service descriptions, is the property of AI Exec Advisors or Onpoint Systems, Inc. and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without express written permission.
All workflows, automations, AI configurations, methodologies, and proprietary systems developed or used by AI Exec Advisors remain our exclusive property. No engagement or payment transfers ownership of any underlying systems or methods to the client unless expressly stated in a signed agreement.
10. Proposal and Decision Timeline
Following a Discovery Call, any proposal or strategy document provided by us shall remain open for acceptance for seven (7) calendar days unless otherwise stated. After this period, the proposal expires and we reserve the right to modify pricing, availability, or terms for any subsequent engagement.
11. Disclaimer
Provider shall not be responsible for any damages your business may suffer. Provider makes no warranties of any kind, expressed or implied for services we provide. Provider disclaims any warranty of merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, no deliveries, wrong delivery, and any and all service interruptions caused by Provider and its employees.
AI systems involve inherent variability and experimentation. We make no guarantee of specific outcomes, results, or performance metrics. Results depend on numerous factors outside our control, including your data quality, business conditions, and responsiveness.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AI EXEC ADVISORS AND ONPOINT SYSTEMS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OUR WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Arbitration
By using any Provider services, you agree to submit to binding arbitration. If any disputes or claims arise against Provider or its subsidiaries, such disputes will be handled by an arbitrator of Provider's choice. An arbitrator from the American Arbitration Association will be selected. All decisions rendered by the arbitrator will be binding and final. The Federal Arbitration Act, and not any state arbitration law, governs all arbitration under this Arbitration Clause. You are also responsible for any and all costs related to such arbitration.
14. Disclosure to Law Enforcement
Provider may disclose any subscriber information to law enforcement agencies without further consent or notification to the subscriber upon lawful request from such agencies. We will cooperate fully with law enforcement agencies.
15. Third-Party Platforms and Services
Our services rely on third-party CRM platforms including, payment processors, and AI infrastructure providers. These platforms are subject to their own terms of service and privacy policies. We are not responsible for the acts, omissions, changes, or failures of any third-party service provider.
16. Changes to the Terms of Service
Provider reserves the right to revise its policies at any time without notice. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles. Any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in Hamilton County, Indiana. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue.
